In a landmark decision rendered on April 25, 2025, our Senior Associate Lawyer, James Un, secured a decisive victory on behalf of six individual clients in a complex dispute with a real estate developer. This judgment voided all pre-sale contracts imposed on our clients, which would have, if enforced against our clients, required them to produce a total of $7,699,400.00 at a time when that would be significantly onerous on them. The court decision is published in Ye v. Vesta Properties (Latimer) Ltd., 2025 BCSC 773.
Background
The controversy centered on pre-sale contracts that not only lacked transparency but also exposed our clients to significant financial risk. These contracts, which appeared to be secure investments in early-stage property developments, contained onerous terms that shifted undue risk onto buyers. Based on our clients’ circumstances, they were not in a good position to produce a total of nearly $7.7 million to complete the contracts with the developer. Relying on the Real Estate Development Marketing Act (“REDMA”) but also recognizing the potential risk, we embarked on a rigorous legal challenge against the developer.
The Legal Battle
Our strategy was founded on meticulous analysis of both REDMA and contract law principles. We demonstrated that, based on the circumstances, our clients were entitled to rely on section 23 of REDMA to have all the pre-sale contracts be unenforceable as against our clients, and we also persuaded the court to return the deposits to our clients.
